1. SUBJECT OF THE AGREEMENT
1.1. The Company agrees to provide educational services, including but not limited to, foreign language instruction, conversation practice, and consulting (the "Services"), and the Client agrees to pay for these Services in accordance with the terms of this Offer. 1.2. The Services are provided remotely via the Internet using electronic communication platforms (Zoom, Google Meet, or other platforms agreed upon by the parties).
2. ACCEPTANCE OF THE OFFER
2.1. In accordance with Article 438 of the Civil Code of the Russian Federation, the unconditional acceptance (Acceptance) of the terms of this Offer shall be the execution of one of the following actions by the Client:
Partial or full payment for the Services;
Registration on the Company's platform/website;
Actual commencement of the first lesson. 2.2. Upon acceptance, this Offer shall be considered a legally binding contract between the Company and the Client.
3. RIGHTS AND OBLIGATIONS OF THE PARTIES
3.1. The Company shall:
Organize and ensure the proper provision of Services.
Notify the Client of any changes to the schedule or assigned instructor at least 12 hours in advance.
Maintain the confidentiality of the Client’s personal data.
3.2. The Client shall:
Provide accurate information required for the provision of Services.
Pay for the Services in full and on time.
Ensure a stable internet connection and necessary hardware/software for online lessons.
4. COST OF SERVICES AND PAYMENT TERMS
4.1. The cost of Services is determined by the Company's current price list published on the website or provided in the invoice.
4.2. All payments shall be made in Russian Rubles (RUB) unless otherwise specified in the invoice.
4.3. Services are provided on a 100% prepayment basis unless a separate written agreement states otherwise.
4.4. The Company is on a Simplified Taxation System (USN) and therefore the Services are not subject to VAT (НДС).
5. CANCELLATION AND RESCHEDULING POLICY
5.1. The Client may reschedule or cancel a lesson by notifying the Company at least 24 hours before the scheduled start time.
5.2. If the Client cancels or reschedules a lesson less than 24 hours before the start, the Company reserves the right to charge the Client 100% of the lesson cost.
5.3. If a lesson is canceled by the Company, the lesson shall be rescheduled to a time convenient for the Client or the funds shall be credited to the Client’s balance.
6. PERSONAL DATA PROTECTION (GDPR & 152-FZ)
6.1. By accepting this Offer, the Client provides consent to LLC "DATABULANCE" to process their personal data (Name, email, phone number, etc.).
6.2. Localization: The Client acknowledges that the primary database of personal data is located on servers within the Russian Federation (at the data center of Beget LLC, St. Petersburg).
6.3. Cross-Border Transfer: The Client expressly consents to the transfer of their name and contact information to instructors located outside the Russian Federation for the sole purpose of conducting lessons.
6.4. Data is processed in accordance with the Company’s Privacy Policy.
7. INTELLECTUAL PROPERTY
7.1. All materials provided to the Client during the Services (textbooks, videos, exercises) are the intellectual property of the Company or its partners.
7.2. The Client is prohibited from recording lessons, copying, distributing, or publishing these materials without the prior written consent of the Company.
8. REFUND POLICY
8.1. The Client may request a refund for unused prepaid lessons at any time.
8.2. Refunds will be processed within 10 business days, minus any transaction fees incurred by the Company and the cost of lessons already conducted.
9. DISPUTE RESOLUTION AND JURISDICTION
9.1. All disputes shall be resolved through negotiation.
9.2. If a settlement is not reached within 30 days, the dispute shall be submitted to the Arbitration Court of the Republic of Sakha (Yakutia).
